Bharuchના Vilayatની વિશાળ Industrial Land અંગે NCLATનો મહત્વપૂર્ણ નિર્ણય; Government-owned land માટે GIDCની Consent અને જરૂરી Statutory Approval વગરનો Resolution Plan “Feasible or Viable” નથી ગણાયો

ગુજરાતના Industrial અને Corporate Sector માટે મહત્વના નિર્ણયમાં **National Company Law Appellate Tribunal (NCLAT)**એ Bharuch નજીક Vilayat ખાતે આવેલી આશરે 1,500 Acre GIDC Landને લગતા Resolution Planને રદ કરી દીધો છે. આ જમીન Gujarat Industrial Development Corporation (GIDC) દ્વારા **Gujarat Hydrocarbons & Power SEZ Ltd. (GHPSL)**ને Special Economic Zone (SEZ) વિકસાવવા માટે Lease પર આપવામાં આવી હતી.

NCLATના નિર્ણય બાદ હવે આ મામલો Committee of Creditors (CoC) પાસે Fresh Process માટે પાછો મોકલવામાં આવ્યો છે. Tribunalએ સ્પષ્ટ કર્યું કે Government-owned land પર આધારિત Resolution Plan તૈયાર કરવામાં આવે ત્યારે સંબંધિત Government Authorityની Consent અને જરૂરી Statutory Approvalsની સ્થિતિને અવગણી શકાય નહીં.

🏭 શું છે સમગ્ર 1,500 Acre Landનો મામલો?

Bharuch જિલ્લાના Vilayat Industrial Estateમાં આવેલી આ જમીન GIDCએ વર્ષ 2007માં **Gujarat Hydrocarbons & Power SEZ Ltd.**ને SEZ વિકસાવવા માટે ફાળવી હતી.

GHPSLનો હેતુ Oil & Gas અને Energy Sector માટે Special Economic Zone વિકસાવવાનો હતો. જમીનનો કબજો અને ownership GIDC સાથે જોડાયેલા Lease arrangement હેઠળ હતો; એટલે GHPSLને જમીનનો સંપૂર્ણ માલિકી હક મળ્યો નહોતો.

પછી GHPSL insolvency proceedingsમાં ગયું અને કંપનીની financial મુશ્કેલીઓ વચ્ચે તેની સામે Corporate Insolvency Resolution Process (CIRP) શરૂ થયો.

આ દરમિયાન **Zaveri & Co. Pvt. Ltd.**એ Resolution Plan રજૂ કર્યો હતો, જેને NCLTએ 2023માં મંજૂરી આપી હતી.

📑 Resolution Planમાં શું પ્રસ્તાવ હતો?

Zaveri & Co.ના Resolution Planમાં આ વિશાળ જમીનને અલગ-અલગ Sub-Plotsમાં વહેંચીને Third Partiesને Sub-Lease આપવાનો પ્રસ્તાવ હતો.

આ રીતે જમીનનો ઉપયોગ માત્ર મૂળ SEZ purpose માટે નહીં પરંતુ Non-SEZ Industrial Activities માટે કરીને Revenue Generate કરવાનો વિચાર Resolution Planમાં સામેલ હતો.

પરંતુ અહીં જ મુખ્ય Legal Issue ઊભો થયો.

GIDCએ આ arrangement સામે વાંધો ઉઠાવ્યો.

GIDCનું કહેવું હતું કે જમીન Government Authorityની છે અને તેની Consent વગર Resolution Plan હેઠળ તેને Sub-Plot અથવા Sub-Lease કરી શકાય નહીં.

⚠️ GIDCએ NCLATમાં કેમ Appeal કરી?

GIDCએ NCLAT સમક્ષ રજૂઆત કરી કે Resolution Planમાં જમીનના Sub-Plotting અને Sub-Leasingની યોજના છે, પરંતુ આ માટે GIDCની જરૂરી Permission/Consent લેવામાં આવી નથી.

બીજો મહત્વનો મુદ્દો હતો SEZ De-notification.

GIDCના વાંધા મુજબ જમીનને SEZમાંથી Non-SEZ Industrial Use માટે ઉપયોગમાં લેવા માટેની De-notification પ્રક્રિયા પૂર્ણ થઈ નહોતી. Development Commissioner તરફથી જરૂરી Certificate પણ ઉપલબ્ધ નહોતું.

અર્થાત્, Resolution Plan જે જમીનના Non-SEZ ઉપયોગને આધાર બનાવીને તૈયાર કરવામાં આવ્યો હતો, તેની Legal સ્થિતિ જ સંપૂર્ણપણે clear નહોતી.

⚖️ NCLATએ શું કહ્યું?

NCLATએ GIDCના વાંધાને મહત્વપૂર્ણ ગણાવ્યો અને કહ્યું કે Government Authorityની જમીન પર આધારિત Resolution Plan માટે સામાન્ય Commercial Considerations કરતાં વધુ Regulatory Scrutiny જરૂરી છે.

Tribunalના 31 ઓગસ્ટ 2026ના Judgmentમાં જણાવાયું કે Zaveri & Co.નો Resolution Plan એવી ધારણા પર આધારિત હતો કે જમીન SEZમાંથી De-notify થઈ ગઈ છે અથવા થઈ જશે, પરંતુ આ સ્થિતિ અંગે જરૂરી confirmation અને GIDCની Consent ઉપલબ્ધ નહોતી.

આ કારણસર Tribunalએ Planને “feasible or viable” નહીં હોવાનું માની તેની મંજૂરી ટકાવી શકાય નહીં એવો નિર્ણય આપ્યો.

🔄 હવે શું થશે?

NCLATએ Resolution Planને સીધો અમલમાં મૂકવાને બદલે મામલો Committee of Creditors પાસે Fresh Process માટે મોકલ્યો છે.

એટલે હવે આ 1,500 Acre Land અંગે આગળની Resolution Processમાં જરૂરી Legal અને Regulatory Issuesને ધ્યાનમાં લેવાની રહેશે.

આ નિર્ણયનો સીધો અર્થ એ નથી કે જમીન GIDCને તરત પાછી મળી ગઈ અથવા સમગ્ર Industrial Project કાયમ માટે બંધ થઈ ગયો. તેના બદલે અગાઉ મંજૂર થયેલા Resolution Planને Tribunalએ ટકાવી રાખ્યો નથી અને Fresh Resolution Process તરફ મામલો મોકલ્યો છે.

આ કેસ માત્ર એક કંપની અથવા એક જમીન પૂરતો મર્યાદિત નથી. તેનો મહત્વનો મુદ્દો છે કે Government-owned Industrial Landને Insolvency Resolution Process દરમિયાન કેવી રીતે Deal કરી શકાય?

GIDC ગુજરાતના Industrial Developmentમાં મહત્વની ભૂમિકા ધરાવતી Statutory Corporation છે. તેથી GIDC દ્વારા Lease પર આપવામાં આવેલી જમીનના ઉપયોગ, Transfer, Sub-Leasing અથવા Conversion અંગેના નિયમોનું પાલન કરવું મહત્વપૂર્ણ છે.

NCLATનો આ નિર્ણય ભવિષ્યમાં Government-owned land સાથે જોડાયેલા IBC Resolution Plans માટે પણ એક મહત્વપૂર્ણ Legal Reference બની શકે છે.

📌 આ કેસમાંથી શું મોટો Legal Lesson મળે છે?

આ કેસનો સૌથી મહત્વનો સંદેશ એ છે કે Insolvency Process દ્વારા Government Authorityના statutory rightsને સરળતાથી bypass કરી શકાય નહીં.

કંપની insolvencyમાં હોય ત્યારે તેના assets અને businessને revive કરવા માટે Resolution Plan જરૂરી છે, પરંતુ જો તે Plan Government-owned land પર આધારિત હોય તો સંબંધિત Authorityની Lease Conditions, Regulatory Permissions અને Statutory Approvalsને પણ ધ્યાનમાં લેવાની રહેશે.

NCLATએ ખાસ કરીને feasibility અને viabilityના મુદ્દા સાથે આ બાબતોને જોડીને જોયા છે.

હવે નજર એ વાત પર રહેશે કે Fresh Resolution Processમાં આ 1,500 Acre Land માટે કયો માર્ગ અપનાવવામાં આવે છે અને શું તેના આધારે Gujaratના Industrial Developmentને નવી દિશા મળે છે.
